Terms of Service
Effective date: October 3, 2026
These Terms of Service govern access to and use of the WorkTree website, application, and related services provided by Worktree Technologies LLC, Calle 1 #15, Sector El Frutal, Hato Tejas, Bayamón, Puerto Rico 00959. Legal, privacy, and support notices may be sent to Pedro@worktreeapp.com and Tommy@worktreeapp.com.
Please read these Terms before creating an account or using the Service. Browsing public website pages does not, by itself, enroll you in a paid plan. By clicking an acceptance control, registering, or using an account after being presented with these Terms, you agree to them. If you do not agree, do not register or use the authenticated Service. Our Privacy Policy explains personal-information practices; it is not a substitute for any consent required by law.
1. Eligibility and authority
The application is for individuals 18 years of age or older. You must provide accurate registration information and have the authority to use any account or organizational workspace to which you are given access. If you enter into a separate agreement on behalf of an organization, you represent that you are authorized to bind it. Merely accepting an invitation to an organization’s workspace does not make an invited user a signatory to that organization’s commercial agreement.
2. Service and organizational workspaces
WorkTree provides work-management and collaboration functionality and may make AI-assisted features or external integrations available. Functionality may vary by account, plan, or separate written agreement. An organization controls its workspace membership, permissions, and content according to available administrative settings. Its administrators and authorized members may access, manage, export, or remove workspace information according to their permissions and applicable law. Do not assume that material entered in an organizational workspace is private from its administrators or other authorized members.
We may maintain, update, or discontinue features, subject to any commitments in a signed agreement and applicable law. We will provide reasonable notice of a material adverse change when practicable. These Terms do not promise an uptime percentage, service-level credit, or particular feature roadmap.
3. Separate organizational agreements and payment
A signed order form, pilot agreement, data-processing agreement, or other written agreement between WorkTree and an organization may govern commercial scope, fees, term, support, security commitments, and data processing. For a direct conflict concerning the subject it addresses, the signed agreement controls over these Terms, subject to mandatory law. No fee, automatic renewal, or conversion from free access to paid access arises solely from these Terms. Paid services, if offered, require separately disclosed and accepted commercial terms.
4. Accounts and security responsibilities
Keep credentials confidential, use only accounts and integrations you are authorized to access, and promptly notify us of suspected unauthorized access. You are responsible for activity through your account to the extent attributable to your actions or failure to safeguard credentials, subject to applicable law. Your organization is responsible for its user invitations, role assignments, and lawful instructions concerning its workspace. WorkTree is responsible for measures within its control as described in Section 8 and any applicable signed agreement.
5. Customer Content and intellectual property
“Customer Content” means information, files, messages, prompts, tasks, and other material submitted to or connected with the Service by you or your organization. As between WorkTree and the relevant rights holder, Customer Content remains that rights holder’s property. You grant WorkTree a nonexclusive, limited right to host, store, transmit, reproduce, transform, and otherwise process Customer Content only as reasonably necessary to provide and secure the Service, perform authorized features and support, comply with lawful obligations, and carry out applicable written agreements. You represent that you have the rights and permissions needed for the content and connected accounts you submit or authorize.
WorkTree and its licensors retain their rights in the Service, software, documentation, design, and trademarks. Subject to these Terms and any applicable agreement, we grant you a limited, nonexclusive, nontransferable right to access and use the Service for its intended purposes. No ownership of the Service or Customer Content transfers under these Terms. Feedback you voluntarily provide may be used to improve the Service, but this does not authorize use of Customer Content for unrelated purposes.
6. Acceptable use
You must not: (a) violate law or third-party rights; (b) access another person’s account or information without authorization; (c) upload malware or interfere with security, availability, or integrity; (d) scrape, reverse engineer, or probe the Service except where applicable law permits or we authorize it; (e) use the Service to harass, threaten, or facilitate unlawful discrimination; (f) misrepresent AI output as independently verified; or (g) connect, upload, or disclose personal or confidential information without appropriate authorization. Reasonable security research requires prior written authorization. We may investigate suspected misuse and take proportionate protective measures.
7. AI-assisted features and integrations
AI-generated material may be inaccurate, incomplete, or unsuitable for your context. You are responsible for reviewing it before use. Do not rely on AI output alone for decisions with significant legal, financial, employment, medical, safety, or other consequential effects. AI features are assistance tools, not professional advice or a substitute for human review. Use of third-party integrations is subject to the permissions you grant and the relevant provider’s terms. If you connect a mailbox, you expressly authorize WorkTree to use its content, in addition to synchronizing it, to provide the enabled features described in the Privacy Policy, including AI summaries, suggested tasks, message prioritization, and the daily briefing. Revoking an integration may stop future access but may not remove information previously added to a shared workspace or records retained for legitimate purposes. The Privacy Policy describes associated data processing.
8. Confidentiality, privacy, and security
We will use Customer Content only for the purposes described in these Terms, the Privacy Policy, and any applicable written agreement, and will limit disclosure to authorized recipients, service providers supporting those purposes, and circumstances permitted or required by law. This provision does not make information confidential if it is independently public, lawfully obtained without confidentiality obligations, or independently developed without using the other party’s confidential information. We use administrative, technical, and organizational safeguards appropriate to the information and risks involved, but cannot guarantee that a connected service will be free from every incident. Specific contractual security, incident-notification, or processing commitments must be documented in the applicable organizational agreement where required.
9. Suspension and termination
You may stop using the Service and request closure of your individual account. Closure or deletion of organizational content may require an authorized workspace administrator’s instruction and may be subject to a signed agreement or legal retention duties. For a free pilot without a different signed termination term, either WorkTree or the participating organization may terminate participation on 14 days’ written notice to the other party. We may suspend access sooner when reasonably necessary to address a security threat, unlawful activity, or material misuse; where practicable, we will explain the reason and provide an opportunity to address it. An organization’s signed agreement governs its own termination, transition, and data-return arrangements. Termination does not erase accrued rights or obligations that by their nature survive, including ownership, confidentiality, lawful retention, and dispute provisions.
10. Data return and deletion
Data export, account closure, deletion, and backup handling depend on the nature of the data, workspace permissions, applicable agreement, operational retention, and legal obligations. Contact us at the email addresses above for assistance. Disconnection or account closure does not instantly erase every copy, log, or backup. See the Privacy Policy for further information.
11. Warranties and allocation of responsibility
We will provide the Service with reasonable care, subject to any specific written commitments. We do not warrant that every feature will be uninterrupted, error-free, or suitable for every purpose, or that AI output will be accurate. Nothing in these Terms excludes warranties, remedies, or liability that cannot lawfully be excluded. These public Terms do not impose a blanket liability waiver, predetermined monetary cap, mandatory arbitration clause, or general customer indemnity. Any negotiated allocation of liability or indemnification for an organization must be stated in its separate written agreement and remains subject to applicable law.
12. Notices and changes
You may send legal notices and requests to Pedro@worktreeapp.com and Tommy@worktreeapp.com. We may send operational and contractual notices to the email associated with your account or, for organizational matters, the organization’s designated contact. We may revise these Terms prospectively. We will post the updated version and effective date and provide reasonable advance notice of material adverse changes where practicable; we will seek renewed acceptance when required. Changes do not amend a signed organizational agreement without the agreement’s prescribed amendment process. Continued use after a validly communicated effective date may constitute acceptance where permitted by law; otherwise, we will obtain affirmative acceptance where required.
13. Governing law and general terms
These Terms are governed by the laws of Puerto Rico, subject to any mandatory law that applies. Courts with competent jurisdiction may hear disputes; these Terms do not impose mandatory arbitration, waive a right to seek regulatory relief, or remove nonwaivable defenses or remedies. If a provision is unenforceable, the remainder continues to the extent lawful. Failure to enforce a provision is not a waiver. Neither party may assign its obligations in a manner that materially prejudices the other party without the consent required by applicable law. These Terms, together with any applicable signed organizational agreement, constitute the agreement on their respective subjects. If a translation conflicts with this English version, the English version controls only to the extent permitted by applicable law.
